This book describes the full spectrum of equity compensation plans (such as stock options, stock purchase plans, stock grants, restricted stock, phantom stock, and stock appreciation rights) available to private and public companies.

Unlike most books on equity compensation, it focuses not just on the tax, legal, and other technical aspects of such plans but also on helping decision-makers decide what kinds of equity to choose, and who should get how much and when.

The book also includes a CD-ROM with an audiovisual presentation by coauthor Corey Rosen on sharing equity with employees.

About the Author:
Three of this book's authors are from the National Center for Employee Ownership (NCEO), a private, nonprofit membership, information, and research organization in Oakland, CA. The NCEO is widely considered to be the authoritative source on broad-based employee ownership plans.

Pam Chernoff, CEP, is the NCEO's director of equity compensation projects. She is the editor of The Stock Options Book, writes for NCEO publications, and coordinates the content for the NCEO's prep course for the Certified Equity Professional exam. She was previously an editor at Pensions & Investments newspaper and has a master's degree in journalism from Northwestern University.

Daniel N. Janich is the managing principal of Janich Law Group. He has extensive experience counseling businesses and executives on all aspects of employee benefits and executive compensation, including tax, securities law, and ERISA. He also litigates employee benefits and executive compensation claims. A former chair of the Chicago Bar Association's Employee Benefits Committee, Mr. Janich is currently associate senior editor of Employee Benefits Law and management co-chair of the Reporting and Disclosure Subcommittee of the ABA Labor and Employment Law Section's Employee Benefits Committee. He is also a Fellow of the American College of Employee Benefits Counsel. Mr. Janich received a B.A. degree cum laude in history from Marian College, Indianapolis; a J.D. degree from The John Marshall Law School, Chicago; and an LL.M. in Taxation degree from DePaul University, Chicago.

Scott Rodrick is the NCEO's director of publishing and information technology. He designed and created the NCEO's present line of publications and is the author or coauthor of several books himself, including the best-selling An Introduction to ESOPs (8th ed. 2007). He is the editor of the Journal of Employee Ownership Law and Finance, the only professional journal in the English language devoted to employee stock plans. Since 1994, he has created and maintained the NCEO's presence on the Internet. He is an attorney and served at the U.S. Department of Labor as an attorney-advisor before coming to the NCEO.

Corey Rosen is the NCEO's executive director. He cofounded the NCEO in 1981 after working for five years as a professional staff member in the U.S. Senate, where he helped draft legislation on employee ownership plans. Before that, he taught political science at Ripon College. He is the author or coauthor of many books and over 100 articles on employee ownership, and coauthor (with John Case and Martin Staubus) of Equity: Why Employee Ownership Is Good for Business (Harvard Business School Press, 2005). He was the subject of an extensive interview in Inc. magazine in August 2000; has appeared frequently on CNN, PBS, NPR, and other network programs; and is regularly quoted in the Wall Street Journal, the New York Times, and other leading publications. He has a Ph.D. in political science from Cornell University and serves on the advisory board of the Certified Equity Professional Institute. He also serves on the board of directors of the Great Place to Work Institute, creator of Fortune magazine's "100 Best Companies to Work for in America" list.
