CLIP - Management buy-outs have caught the managerial imagination. They have grown from a little known, and risky option, to one of which a growing number of managements have become aware. In the U. K. Alone, the total value of management buy-outs has grown from 26 million in 1979 to 3, 238 million by 1987. The term management buy-out is used to describe the acquisition of a company or business by a group of investors including a number of the existing management of that company or business. In the early days management buy-outs were usually small transacti ons in which the management obtained control of the business. Inevitably, the average size of deals has increased and the management buy-out has grown to the extent that the amounts involved today are often in excess of 100 million. As a result the comp lexity of buy-outs has increased considerably, as has the number of cross border buy-outs. The management buy-out is now a worldwide phenomenon which has become an integral part of the market for corporate control. The advantages of the management buy-out are fourfold: it often offers the best price for a business; it enables managers keen to acquire ownership of the companies they run to do so; it allows the vendor to dispose of a subsidiary other than to a rival; and can forge closer business relationships between buyer and seller. In response to this growth, Euromoney has published Management Buy-Outs, a study which addresses the subject within the context of international developments - an approach of particular importance given the increasing internationalisation of economies an d of financial institutions and markets. The book begins by providing a comprehensive background to the growth of the buy-out concept in the U. S. And its subsequent spread to the U. K. France, Europe and elsewhere. There is an analysis of the major market practitioners, outlining the types of f unding organisations, syndication patterns and deal structures. This is followed by profiles of seven successful management buy-outs, illustrating the problems which had to be overcome, the process of evaluation and negotiation, the financial package and the eventual rewards.
