About this title
This is the definitive guide for anyone involved with designing, implementing, or administering an employee stock option plan. Written by attorney Alisa Baker, a leading equity compensation expert, it presents a straightforward, comprehensive overview of both the big-picture issues and the technical details related to designing and implementing stock option plans. The book also looks at "hot" issues and provides illustrative exhibits, a glossary, a bibliography, and primary source materials, plus a seminal article by Corey Rosen on plan design. The tenth edition covers the latest developments in equity compensation, including new case law.About the Author:
Alisa J. Baker, a partner at Levine & Baker LLP in San Francisco, is a nationally recognized equity compensation expert who specializes in counseling individuals and companies on the full range of compensation-related matters, including preparation and negotiation of executive employment agreements, severance/separation agreements, consulting agreements, and individual equity arrangements, including representation of partners and company founders; representation of senior executives, company founders, and employee-stockholders on their rights in merger & acquisition (M&A) transactions and venture capital financings, including "golden parachute," deferred compensation, and equity structuring matters; design, implementation, and counseling on all aspects of employee compensation, including stock plans, non-equity performance plans, qualified/nonqualified deferred compensation arrangements, executive compensation assessment, and compensation committee review procedures; and expert witness and consulting services for equity-related litigation. In addition, her extensive list of published articles includes pieces in publications ranging from the Wall Street Journal to the Journal of Taxation.
