Der Gesetzgeber hat für die erste Variante ebenfalls Erleichterungen in Form von Größenmerkmalen ( 293 HGB) erlassen, deren Überschreitung die Befreiung von der Konzernrechnungslegungspflicht aufhebt.Prinzipiell besteht die Verbindlichkeit zur Aufstellung eines Konzernabschlusses, wenn ein Unternehmen auf wenigstens ein Tochterunternehmen einen beherrschenden Einfluss ausübt und somit ein Mutter-Tochter-Verhältnis vorliegt. Dieses kann nach nationalen Vorschriften entweder durch eine einheitliche Leitung ( 290 Abs. 1 HGB) oder durch die Beherrschungsmöglichkeit im Rahmen des Control-Konzeptes (Abs. 2) begründet werden, wobei beide Ansätze unabhängig voneinander zu prüfen sind. Es handelt sich dabei um zwei sehr unterschiedliche theoretische Konzepte, die aber im Regelfall, sofern die formalen Voraussetzungen nach Absatz 2 erfüllt sind, den gleichen Konsolidierungskreis ergeben.Im Vergleich zu den anderen Rechtskreisen finden sich im Handelsrecht zur Konsolidierungsfrage von SPEs keine speziellen Vorschriften, so dass eine Bilanzierung nur erfolgen kann, sofern ein Mutter-Tochter-Verhältnis gemäß den alternativen Tatbeständen nach 290 Abs. 1 oder Abs. 2 HGB erfüllt ist. Die nachfolgenden Ausführungen werden zeigen, dass dieses nach geltendem Recht nur dann möglich sein kann, wenn die Stimmrechte an dem Tochterunternehmen über 290 Abs. 3 HGB dem Mutterunternehmen wirtschaftlich zugerechnet werden können.
