We hope that practitioners and scholars who need an overview of the doctrine and theory of contract law ill also find it useful. (p)Readers will find that the text relies on established common law principles as reflected by both appellate cases and by the Restatement (Second) of Contracts as well as on relevant provisions of the Uniform Commercial Code (U.C.C.), particularly Article 2, governing sales of goods. We have tried to keep the text limited to the range of material we might discuss with on of our more industrious and curious students who was seeking our help to understand contract law during a conversation with one of us. To that end we have used several basic hypothetical fact patterns involving commonly recurring situations that arise in the basic Contracts course. Where appropriate we have added additional parties to reflect various on the themes developed by these basic transactions. We posed these hypotheticals in fairly realistic settings, involving the type of business transaction lawyers are likely to encounter in dealing with many of their clients. (p)Modern contract law includes a much wider variety of situations than those represented by these basic transactions. However, most of the development of contract law has involved on variation or another on these three basic contracts for the sale of goods, contracts for construction or employment services, and contracts for the sale of land. Where appropriate, we added more elaborate details to these and other recurring situations to enable students to understand the wide variety of circumstances in which issues in contract law may arise.
