In this guide, lawyer Barrett discusses business contracts, often with clause-by-clause analysis, and provides examples of good and bad legal writing. He also takes a critical look at sample documents and shows how to "what-if" them for loopholes and ambiguous language. He includes a useful chapter called "Forming and Maintaining a Corporation" that is a no-nonsense explanation of corporate entities. What keeps this book from being wholeheartedly recommended, however, is the heavy dose of disdain Barret heaps upon the legal profession, which overshadows his important advice to have an attorney review all contracts. Just as thorough and practical, but more balanced, is Paul Adams's Complete Legal Guide for Your Small Business (Wiley, 1982).
