This book examines the main characteristics of Spanish corporate governance. Spain is one of the top 20 economies around the world and one of the five largest in Europe. The significant differences between the Spanish system and the Anglo-Saxon system (i.e., the US, the UK, Canada and Australia) make this book interesting not only for the Spanish or European audience, but for a number of possible readers in the international arena. It discusses the main characteristics of Spanish corporate governance, the factors underlying the current situation, and frames Spain in the international context of corporate governance. The book will also explore the functioning of the main mechanisms of corporate governance, both in terms of internal and external mechanisms. The book provides a clear view of how corporate governance has evolved in Spain, the recent trends in corporate governance, and the main facts and figures to understand the Spanish system in the international framework. The book is intended for use by executives in or out of the executive education environment as well as MBAs and advanced undergraduates in business schools around the world.

Paperback. Condition: New. Spain has a civil law-based legal system, and court decisions are not a source of law but are of interpretative value. The privatization of large state-owned firms, liberalization, integration with the European Union, and the launch of the euro have all contributed to the transformation of Spain's financial system into a modern market. This book covers the main features of the Spanish model of corporate governance and will help you understand the characteristics of a civil law and a bank-oriented financial system in which banks play an active role relative to markets. For example, the bank orientation within Spain is built so that the corporate governance system relies heavily on the internal mechanisms of governance. Spain also bypasses the standard procedures of controlling shareholders mitigating conflicts between management and minority shareholders; instead, Spain allows controlling shareholders to mitigate the conflict between controlling shareholders and minority shareholders. Each chapter provides an inside look at the functioning of both internal and external mechanisms of corporate control. Seller Inventory # LU-9781606497609
