About the Author

Larry Schoenbrun received his LL.B. from The University of Texas School of Law, with honors, and was admitted to the State Bar of Texas in 1965. He was the Managing Partner of Gardere Wynne Sewell LLP between 1995 and 2000, and has practiced law with that firm and its predecessors since 1966. His practice has been in the area of corporate and securities law. Mr. Schoenbrun has served as Chairman of the Securities Committee of the Business Law Section of the State Bar of Texas (1975-77), as Chairman of the Council of the Business Law Section of the State Bar of Texas (1981-82), and as Chairman of the Board of Directors of the Texas Business Law Foundation (1990-91).

Richard Tulli received his Juris Doctorate from Harvard Law School and was admitted to the State Bar of Texas in 1979. He is a partner of Gardere Wynne Sewell LLP, and has practiced law with that firm since 1981. His practice has been concentrated in the area of corporate and securities law. Mr. Tulli served as Chairman of the Information Committee of the Business Law Section of the State Bar of Texas (1991-93) and as a member of the Council of the Business Law Section of the State Bar of Texas (1993-95). He is Vice Chairman of the Legal Opinions Committee of the Business Law Section of the State Bar of Texas (2000-2003).
