The author begins by examining the theory of implied consent, which suggests that the founders of an organization intend for it to be subject to the laws of the country in which it is established. This idea is contrasted with the concept of territoriality, which establishes that an entity's nationality is determined by the location of its principal place of business. The author finds fault with both of these theories, arguing that they are based on assumptions that do not always hold true. Exploring alternative theories, the author presents the idea of "dominant element," which suggests that the nationality of an organization should be determined by the predominant influence of a particular country on its operations.
