Der Europäische Gerich…tshof hat nunmehr im Jahre 2012 mit der Entscheidung in der Rechtssache Vale Epitesi kft. den vorläufigen Schlusspunkt in der Diskussion um die Niederlassungsfreiheit der Gesellschaften gesetzt und zugleich eine neue faszinierende Facette hinzugefügt: Die EU-Mitgliedsstaaten sind verpflichtet, neben der rechtsformwahrenden Sitzverlegung auch identitätswahrende formwechselnde Umwandlungen zu ermà glichen. Der Gestaltungsspielraum der Binnenmarktteilnehmer wird dadurch theoretisch deutlich erweitert. Praktisch fehlt es insoweit jedoch an verbindlichen gesetzlichen Regelungen, insbesondere zum Minderheiten- und Gläubigerschutz. Auf Grundlage eines breit dargestellten internationalprivatrechtlichen Fundaments analysiert die Untersuchung das dogmatische Konzept des EuGH bei der Interpretation der Niederlassungsfreiheit und erläutert ihren Inhalt und ihre Bedeutung für die grenzüberschreitende Mobilität von Kapitalgesellschaften. Aufbauend auf den herausgearbeiteten Rahmenbedingungen entwickelt die Arbeit Regelungskonzepte, mit denen sich die transnationalen Besonderheiten grenzüberschreitender formwechselnder Umwandlungen sach- und interessengerecht adressieren lassen. Als Vorlage dienen neben den EU-Gesellschaftsformen (Europäische Wirtschaftliche Interessenvereinigung, Europäische Aktiengesellschaft) auch aktuelle Gesetzesentwürfe (Verordnungsentwurf für eine Europäische Privatgesellschaft, Entwurf einer Sitzverlegungsrichtlinie, Referentenentwurf zum Internationalen Gesellschaftsrecht). Rechtsvergleichend werden zudem die Regelungen zur Gesellschaftsverlegung im Internationalen Privatrecht der Schweiz herangezogen. Das Buch schlieÃt mit einem Katalog konkreter Anforderungen an eine gesetzliche Neuregelung.
